Acceptance of Terms

By accessing, subscribing to, or otherwise utilizing the Neodustria platform, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our services.

This document constitutes a legally binding agreement between Neodustria (the "Provider") and the client ("Subscriber" or "Client").

Eligible Users

Neodustria services are intended for organizations and professionals in industrial and enterprise sectors. By using our platform, you represent that you have the authority to bind your organization to these terms.

This Agreement governs the provision of Neodustria.com — an AI-powered platform for 3D design, simulation, and industrial engineering — and outlines the rights, obligations, and liabilities of both parties.

Services & Access

Neodustria provides industrial intelligence, AI-powered analytics, and related services. Access is granted on a limited, non-exclusive basis and may be modified, suspended, or terminated at our discretion.

Service Model: The platform operates under a utilization-based billing model. Clients are invoiced based on actual resource consumption as defined within the executed subscription plan.

Suspension of Service: The Provider reserves the right to suspend access immediately in the event of overdue obligations, material breach of these terms, or credible security risks.

User Responsibilities

You agree to use the platform only for lawful purposes and in compliance with all applicable laws. You are responsible for maintaining the confidentiality of your account and for all activities under your account.

API Usage: APIs and SDKs are provided solely to facilitate integration of Neodustria features into existing industrial workflows. All API usage must adhere to published rate limits and security protocols.

Prohibited Use: The Client shall not utilize Neodustria APIs or extracted data to develop, market, or operate any product or service that directly competes with the Provider's offerings.

Data & Confidentiality

All data shared with Neodustria remains your property. We process data in accordance with our Privacy Policy and applicable regulations, including GDPR and the EU AI Act.

Data Handling: We maintain robust security standards aligned with GDPR, the EU AI Act, and ISO 27001 management practices.

Data Confidentiality: Client data is secured through industry-standard encryption and strict access controls. It shall not be shared with unauthorized third parties without explicit written consent.

Client Data Ownership: The Client retains full ownership of all uploaded design files, proprietary datasets, and internal knowledge graphs generated through their use of the platform.

Fees & Payments

Some services may be subject to fees as outlined in your agreement or order form. All fees are non-refundable unless otherwise stated in writing.

Billing Model: The platform operates on a utilization-based model. Clients are invoiced based on actual compute cycles, data storage, module access, and API calls as defined in their subscription plan.

Client Responsibility: The Client bears sole responsibility for monitoring their consumption, managing internal user access, and ensuring all platform usage originating from their account is duly authorized.

Intellectual Property

All content, software, and materials provided by Neodustria are our property or licensed to us and are protected by intellectual property laws. You may not copy, modify, or distribute them without permission.

Ownership: All software modules, algorithms, proprietary designs, source code, documentation, and platform content constitute the exclusive Intellectual Property of the Provider or its designated licensors.

License Grant: Upon a valid subscription, the Provider grants the Client a non-exclusive, non-transferable, revocable, and limited license to access and utilize the platform solely in accordance with their subscription tier.

Limitation of Liability

Neodustria is not liable for indirect, incidental, or consequential damages arising from your use of the platform or services.

"As Is" Basis: The platform is provided on an "as is" and "as available" basis without warranties of merchantability, fitness for a particular purpose, or non-infringement.

Validation Requirement: Clients are mandated to validate all simulation results, design specifications, and predictive analytics before deployment or use in any production environment.

Disclaimer of Damages: The Provider shall not be held liable for any indirect, incidental, consequential, or punitive damages, including financial loss, production faults, business interruption, or data loss.

Governing Law

These Terms are governed by the laws of the jurisdiction in which Neodustria operates, without regard to conflict of law principles.

Governing Jurisdiction: This Agreement shall be construed and governed exclusively by the substantive laws of the Republic of Ireland and applicable EU regulations.

Dispute Resolution: Any dispute shall first be submitted to good-faith negotiation between the parties. If unresolved within 60 days, the dispute shall be settled by competent courts in the jurisdiction where the Provider is officially registered.

Amendments: The Provider reserves the right to amend these Terms periodically. Continued use of the platform following notification of changes constitutes acceptance of the revised terms.
